01Eligibility and Business Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

When using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that situation, “you” and “your” refer to both you and the organization.

02Customer Accounts

Certain Services require a Xeon NC customer account. You agree to:

You are responsible for all activity performed through your account, including files uploaded, quotes requested, configurations approved, orders placed, and purchases made by employees, contractors, purchasing personnel, or other authorized users.

Xeon NC is not responsible for losses caused by your failure to secure your account credentials or control access to your account.

We may suspend or terminate an account that contains inaccurate information, is used fraudulently, creates a security risk, violates these Terms, or is otherwise used unlawfully.

03Uploaded Files and Customer Content

“Customer Content” includes CAD files, STEP files, DXF files, drawings, models, specifications, images, notes, part names, assembly information, technical documentation, and other information you upload or provide to Xeon NC.

You retain ownership of your Customer Content.

By uploading or submitting Customer Content, you grant Xeon NC and its authorized service providers a limited, nonexclusive license to access, copy, convert, analyze, modify for manufacturing purposes, store, transmit, and use the Customer Content as reasonably necessary to:

Xeon NC will not publicly display, advertise, sell, or distribute your proprietary CAD files without your permission, except where disclosure is required by law.

Our handling of personal information is also governed by the Xeon NC Privacy Policy.

04Ownership and Authorization

By uploading Customer Content, you represent and warrant that:

  1. You own the Customer Content or have all permissions necessary to use it.
  2. You have authority to authorize Xeon NC to manufacture parts from it.
  3. Manufacturing the submitted design will not infringe another party’s patent, copyright, trademark, trade secret, contractual right, or other intellectual-property right.
  4. The Customer Content and resulting parts comply with applicable laws.
  5. The Customer Content does not contain malicious code, corrupted data, or software intended to disrupt the Services.

Xeon NC does not independently investigate the ownership of every submitted design. Acceptance of a file or order does not constitute a determination that the design is lawful or non-infringing.

We may reject, suspend, or cancel a file, quote, or order when we reasonably believe that the Customer Content violates these Terms, applicable law, or the rights of another party.

05Prohibited Designs and Uses

You may not use the Services to upload, quote, manufacture, or obtain items that are illegal or prohibited by Xeon NC policy. Prohibited content may include:

Xeon NC may request documentation showing ownership, authorization, licensing, regulatory compliance, or intended use before accepting an order.

Our decision to manufacture an item does not represent or warrant that the item is legal to possess, sell, ship, install, export, import, or use in any jurisdiction. You remain responsible for confirming all applicable legal requirements.

06File Storage and Availability

Account features may allow you to save parts, configurations, folders, assemblies, order groups, and previous orders.

These features are provided for convenience and are not intended to serve as your primary file-storage or backup system. You are responsible for maintaining independent copies of all original CAD files, drawings, revisions, specifications, and order records.

Xeon NC does not guarantee that uploaded files or saved configurations will remain available indefinitely. Files may be deleted because of account closure, system maintenance, storage limitations, security concerns, legal requirements, or inactivity.

Deleting a file or closing an account may not immediately remove information contained in completed orders, backups, financial records, quality records, or records that Xeon NC must retain for legitimate business or legal purposes.

07Automated File Analysis

The Services may automatically analyze Customer Content to identify or estimate information such as part dimensions, material thickness, units and scale, cut geometry, bend lines and bend directions, hole sizes, part volume or weight, manufacturing processes, material utilization, potential manufacturability concerns, and estimated price and lead time.

Automated analysis is provided as a quoting and manufacturing-assistance tool. It is not a substitute for engineering review, design validation, regulatory review, tolerance analysis, finite-element analysis, fit testing, or professional advice.

Automated tools may fail to identify design errors, open contours, duplicate lines, incorrect units, internal features, interferences, insufficient clearances, bend conflicts, tolerance conflicts, or other problems.

You must independently verify all automatically detected information before approving an order.

08Customer Responsibility for File Accuracy

You are solely responsible for the accuracy, completeness, functionality, and manufacturability of your Customer Content. Before submitting an order, you must verify:

Xeon NC is not responsible for errors contained in customer-provided files or specifications, including incorrect geometry, scale, units, material, thickness, quantity, revision, bend orientation, tolerances, or finish selections.

09Order Configuration and Approval

The final configuration displayed during checkout or included in an approved manual quote constitutes your manufacturing approval. The approved production record may include:

By selecting an approval checkbox, submitting an order, approving a manual quote, or authorizing production, you confirm that you have reviewed and approved the complete production configuration.

Website previews, renderings, bend simulations, thumbnails, and automated manufacturability warnings are visual aids only. They may not display every feature or accurately represent surface condition, edge condition, color, grain, tooling marks, deformation, or final appearance.

10Conflicting Information

You must notify Xeon NC of any conflict between a CAD model, DXF file, drawing, website configuration, purchase order, email, or other instruction before production begins.

Unless Xeon NC expressly accepts a different priority in writing:

  1. Written special instructions expressly accepted by Xeon NC control.
  2. Website material, thickness, quantity, process, and finish selections control those attributes.
  3. The latest approved three-dimensional model controls part geometry.
  4. An approved technical drawing controls specifically identified dimensions, tolerances, and inspection requirements.

Xeon NC is not required to identify or resolve conflicts between submitted documents. We may pause an order and request clarification, but our failure to request clarification does not transfer responsibility for the conflict to Xeon NC.

11Design and Engineering Responsibility

Unless separately agreed to in writing, Xeon NC provides manufacturing services and does not provide professional engineering, product certification, or design-validation services.

Any design feedback, manufacturability warning, bend simulation, corner adjustment, file repair, or production recommendation is provided for manufacturing assistance only.

You remain responsible for determining whether a part is suitable for its intended load, environment, installation, assembly, safety requirement, regulatory classification, structural application, or aerospace, automotive, medical, defense, or mission-critical use.

You are responsible for prototype testing, qualification, inspection, validation, and certification before using parts in production or safety-critical applications.

12Quotes and Pricing

Automated and manual quotes are estimates based on the information available when the quote is generated. Unless otherwise stated, a quote may be modified or withdrawn before the order is accepted because of:

A quoted price does not include requirements that were not included in the approved production configuration.

Xeon NC may correct pricing, calculation, or configuration errors before production begins. When a material pricing error or substantial quoting error is discovered, we may cancel and refund the order or provide a corrected quote for your approval.

13Order Acceptance

An order submission or payment does not require Xeon NC to manufacture the order.

An order is accepted when Xeon NC confirms the order and determines that it can reasonably be manufactured. We may reject or cancel an order because of manufacturability, capacity, material availability, prohibited content, payment issues, pricing errors, regulatory concerns, or other legitimate business reasons.

If Xeon NC cancels an order before production because we cannot fulfill it, amounts paid for the unproduced portion will be refunded to the original payment method unless another lawful arrangement is accepted by the customer.

14Payments

Payment is due at checkout unless Xeon NC has approved separate written credit terms. You authorize Xeon NC and its payment processors to charge the payment method provided for:

You represent that you are authorized to use the submitted payment method.

You are responsible for providing complete and accurate billing information. Xeon NC may place authorization holds, verify payment information, delay production, or cancel an order when payment cannot be verified.

Approved credit accounts are subject to the credit limit, deposit requirements, payment deadlines, late charges, collection costs, and other conditions stated in the applicable credit agreement or invoice.

15Taxes

Prices may exclude sales, use, excise, value-added, customs, tariff, and similar taxes unless expressly stated otherwise.

Xeon NC will collect taxes when required by law. Customers claiming an exemption must provide valid exemption documentation before the order is processed.

You are responsible for taxes, duties, or fees that Xeon NC is not legally required to collect.

16Cancellations and Changes

Because Xeon NC manufactures custom products, production may begin shortly after an order is placed.

You must contact Xeon NC immediately to request a cancellation or change. A request is not effective until Xeon NC confirms it in writing.

An order may not be canceled or changed after any of the following has occurred:

When cancellation is possible, Xeon NC may deduct costs already incurred, including material, programming, processing, payment fees, labor, and administrative costs.

17Custom Products and Returns

Xeon NC products are manufactured to customer specifications and are not stocked retail goods.

Except where required by law, custom-made parts are not returnable or refundable because of:

Do not return parts to Xeon NC unless you have received written return authorization.

18Manufacturing Claims

You must inspect all parts promptly after delivery.

Claims involving missing parts, incorrect parts, manufacturing defects, shipping damage, or nonconformance must be submitted to quote@xeonnc.com within 10 calendar days after delivery. The claim should include:

You must preserve the affected parts and original packaging until Xeon NC completes its review.

Failure to submit a timely claim or preserve the affected parts may prevent Xeon NC from verifying the issue and may result in denial of the claim, except where prohibited by law.

19Remedies

When Xeon NC confirms that parts do not substantially conform to the approved production configuration or applicable published manufacturing tolerances, Xeon NC may, at its option:

Any remake, credit, or refund will generally be limited to the affected parts and quantities.

Xeon NC is not responsible for customer labor, sorting, assembly, disassembly, installation, machining, finishing, expedited freight, production downtime, lost revenue, replacement purchases, or other consequential costs unless expressly agreed to in writing.

Nothing in these Terms limits any remedy that cannot legally be limited.

20Manufacturing Variations

Manufacturing processes involve normal variation. Unless a different requirement is included in the approved production configuration, the following may not constitute defects:

Cosmetic, surface-protection, flatness, critical-tolerance, grain-direction, and special-packaging requirements must be clearly identified and accepted before production.

21Website Availability

Xeon NC attempts to maintain reliable access to the Services but does not guarantee uninterrupted or error-free operation.

We may modify, suspend, restrict, or discontinue website features, file types, account functions, quoting tools, materials, manufacturing processes, or integrations at any time.

Xeon NC is not responsible for losses caused by website outages, transmission errors, corrupted uploads, browser incompatibility, third-party service interruptions, or failure to maintain independent copies of Customer Content.

22Disclaimer of Warranties

To the maximum extent permitted by law, the website, quoting tools, automated analyses, simulations, account features, and related Services are provided on an “as available” basis.

Xeon NC warrants only that manufactured parts will substantially conform to the approved production configuration within the applicable manufacturing limitations and published tolerances.

Xeon NC does not warrant that:

To the extent legally permitted, all implied warranties, including merchantability, fitness for a particular purpose, and noninfringement, are disclaimed.

23Limitation of Liability

To the maximum extent permitted by law, Xeon NC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost production, lost business, loss of data, assembly costs, installation costs, recall costs, or business interruption.

Xeon NC’s total liability arising from a particular order will not exceed the amount actually paid to Xeon NC for the affected portion of that order.

These limitations apply regardless of the legal theory asserted and even when Xeon NC has been advised that such damages may occur.

Some jurisdictions do not permit certain warranty exclusions or liability limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

24Indemnification

You agree to defend, indemnify, and hold harmless Xeon NC and its owners, officers, employees, contractors, suppliers, and service providers from claims, losses, liabilities, damages, penalties, and reasonable legal expenses arising from:

This obligation does not apply to the extent a claim is caused solely by Xeon NC’s gross negligence or willful misconduct.

25Account Suspension and Termination

Xeon NC may suspend or terminate access to the Services when we reasonably believe that:

Termination does not eliminate payment obligations or provisions that reasonably should survive termination, including intellectual-property rights, disclaimers, liability limitations, indemnification, and dispute provisions.

26Electronic Communications

You consent to receive order confirmations, approval requests, account notices, invoices, delay notices, legal notices, and other communications electronically.

You are responsible for maintaining a valid email address and reviewing communications related to your account and orders.

Electronic approvals, checkbox acceptances, purchase submissions, and email authorizations may be treated as written approvals.

27Changes to These Terms

Xeon NC may update these Terms periodically.

Updated Terms will be posted on the website with a revised effective date. Material changes may also be communicated through the website, account dashboard, or email.

Changes apply prospectively unless otherwise required by law. Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.

28Governing Law and Venue

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, disputes arising from these Terms or the Services will be brought exclusively in the state or federal courts located in or serving Canyon County, Idaho. You consent to the jurisdiction and venue of those courts.

29Severability

If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect.

30No Waiver

Failure by Xeon NC to enforce a provision of these Terms does not waive our right to enforce that provision later.

31Entire Agreement

These Terms, the Privacy Policy, the applicable quote, approved production configuration, order confirmation, credit agreement, and any policies expressly incorporated by reference constitute the entire agreement regarding the applicable Services.

A customer purchase order or other customer document will not modify these Terms unless Xeon NC expressly agrees to the modification in writing.
